Terms of Service

Terms of Service — Nova Darling Media LLC

Effective date: October 25, 2026 · Last updated: October 25, 2026

Welcome to novadarlingmedia.com, the website of Nova Darling Media LLC (“we,” “us,” or “our”). By using this website, you agree to these Terms of Service. If you do not agree, please do not use this site.

About this website

This website describes our services — social media management, website management, web hosting, and graphic design — and lets prospective clients contact us through our Get Started form. Submitting a form is an inquiry only: it does not create a client relationship or a contract. Services begin only when both sides have signed a written agreement.

If there is ever a conflict between these website terms and a signed client agreement, the signed agreement controls.

Pricing

Prices shown on this website or in our package materials are current as of the effective date above, are listed in U.S. dollars, and may change at any time before an agreement is signed. The price in your signed agreement is the price that applies to you.

Service terms (summary)

The following summary applies unless your signed agreement says otherwise:

  • Monthly services are paid in advance on the 1st of each month. A $25 late fee applies to an invoice still unpaid 7 days after its due date, and work may pause when an account is 15 or more days past due.
  • Monthly packages begin with a 3-month initial term, then continue month-to-month. Either side may end a month-to-month package with 30 days’ written notice.
  • One-time and à la carte projects over $100 require a 50% deposit before work begins, with the balance due on delivery.
  • Design work includes 2 revision rounds; additional rounds are billed at our hourly rate.
  • Web hosting is billed annually in advance.

Refunds

  • Deposits on one-time and à la carte projects are refundable in full until work begins. Once work has begun, the deposit is applied to the work performed, and any unused portion is refunded.
  • Monthly packages are paid in advance and earn out over the month. A payment for a month in progress is not refundable once that month’s work has begun; amounts prepaid for future months that have not started are refunded if the package is cancelled.
  • Web hosting fees are refundable within 30 days of purchase or renewal. After 30 days, hosting runs to the end of the paid year and is not refunded pro-rata.
  • Refunds are issued to the original payment method within 14 days of approval.

Ownership of work and client content

Once an invoice is paid in full, the client owns the final published posts and final delivered design files covered by that invoice. We keep our working files, drafts, and templates, and we may display finished work in our portfolio and marketing unless a client asks us in writing not to.

Clients are responsible for the content they give us — text, photos, logos, trademarks, and other materials. By providing content, a client confirms they own it or have permission to use it, and that it does not infringe anyone’s rights or break any law. As described under Indemnification below, the client covers claims that arise from their content.

Everything on this website — text, graphics, logos, and game artwork — belongs to Nova Darling Media LLC or its owners and may not be copied or reused without written permission.

Acceptable use

You agree not to use this website for any unlawful purpose, not to attempt to disrupt or gain unauthorized access to it, and not to submit false or misleading information through our forms.

Web hosting terms

Hosting we provide is delivered through Hostinger, our hosting provider, and is also subject to Hostinger’s own terms and acceptable use policies. Because of that:

  • We are your point of contact for hosting, and Hostinger’s service levels apply to the hosting itself. If Hostinger issues a credit for downtime, that credit is the sole remedy for the outage.
  • You are responsible for the content of any website we host for you (see Client content above), including making sure it complies with Hostinger’s policies. A hosted site that violates those policies may be suspended by Hostinger, and we will help you address the issue but cannot override their decision.
  • Backups provided by the hosting platform are a courtesy, not a guarantee; Website Care clients receive the additional backup and update services described in their agreement.
  • If hosting is not renewed, the hosted website may go offline at the end of the paid term. On termination of hosting, we will keep the site available for a 30-day migration window so you can move it, after which it may be removed.

Accounts and security

Some services involve access to client accounts (such as social media pages or websites). Wherever possible, access is given through platform roles or collaborator access rather than shared passwords. We will use two-factor authentication where it is available on accounts we control. You are responsible for keeping your own credentials secure and for telling us promptly if you believe an account has been compromised. We use reasonable care with credentials and access entrusted to us, but no online account can be guaranteed completely secure.

Our services — no guaranteed results

We provide our services with professional care, but we do not guarantee specific results — including follower counts, engagement, traffic, search rankings, or sales — because those depend on platforms and factors outside our control. Except as expressly stated in a signed agreement, our services are provided without warranties of any kind.

Confidentiality

Information a client shares with us for their project — including business plans, customer information, and account access — is treated as confidential and used only to provide the services, unless disclosure is required by law or the client agrees otherwise.

Termination

Either side may end a service relationship as described in the Service terms above or in the signed agreement. We may suspend or end services immediately if a client does not pay, provides unlawful or infringing content, or misuses an account or service. When services end:

  • Amounts owed for work performed and periods already begun remain due.
  • We will hand over the client’s paid-for final files and hosted content as described in the Web hosting terms.
  • Sections of these terms that by their nature should survive — including Ownership, Indemnification, and Limitation of liability — continue to apply.

Indemnification

To the extent allowed by law, you agree to defend, indemnify, and hold harmless Nova Darling Media LLC and its owner from claims, damages, liabilities, and reasonable legal costs arising out of: (a) content you provide to us or publish through our services; (b) your use of our services in violation of these terms or any law; or (c) your websites, products, or business operations. We agree to hold you harmless from claims that our own original work, as delivered, infringes a third party’s intellectual property rights.

Limitation of liability

This website and its content are provided “as is,” without warranties of any kind. To the fullest extent allowed by law, Nova Darling Media LLC is not liable for any indirect, incidental, or consequential damages arising from use of this website or our services. Our total liability for any claim arising out of this website or our services is limited to the total amount you paid us in the 12 months before the claim arose — or $100 if you have not paid us anything. Nothing in these terms limits liability that cannot be limited by law.

Force majeure

Neither side is responsible for delays or failures caused by events outside its reasonable control — including hosting or internet outages, social media platform outages, bans, or algorithm changes, cyberattacks, natural disasters, government actions, or illness or emergency affecting a sole operator. Deadlines and obligations pause for the duration of the event, and either side may end the affected service if the event lasts more than 30 days.

Copyright complaints (DMCA)

If you believe content on this website infringes your copyright, email owner.ndm@novadarlingmedia.com with: your name and contact information, a description of the copyrighted work, the location (URL) of the material you believe infringes it, a statement that you have a good-faith belief the use is not authorized, and a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the copyright owner. We will review and, where appropriate, remove the material.

Disputes and governing law

These terms are governed by the laws of the State of Montana. If a dispute arises, both sides agree to first try to resolve it in good faith through discussion for 30 days, then through mediation in Lake County, Montana, before filing in court. Any court action will be brought in the state or federal courts located in Montana.

General

  • Entire agreement (website use). These terms are the entire agreement between us about your use of this website.
  • Severability. If any part of these terms is found unenforceable, the rest remains in effect, and the unenforceable part will be read as narrowly as needed to make it enforceable.
  • No waiver. If we do not enforce part of these terms, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign your rights under these terms without our written consent. We may assign ours in connection with a sale or restructuring of the business.
  • Notices. Notices under these terms may be given by email to the addresses on file (for us: owner.ndm@novadarlingmedia.com) and are effective when sent.
  • Indie games. Our games are provided for entertainment. Any in-game purchases, tips, or sponsorships are handled through the third-party platforms linked from the game pages and are subject to those platforms’ terms.
  • Third-party links and services. This website links to third-party sites and services (such as Facebook, Instagram, and our hosting provider). We are not responsible for their content, availability, or practices.

Changes to these terms

We may update these terms from time to time. The current version will always be posted on this page, and the “Last updated” date above will change when it does. Continued use of the website after a change means you accept the updated terms.
